Terms of Use
These Terms of Use (the “Terms”) govern your access to and use of poweredbyvolt.xyz (the “Site”), the VOLT NFT collection, and any related content, channels or materials (together, the “Project”). The Project is operated by the VOLT team (“VOLT”, “we”, “us”).
By accessing the Site, acquiring, holding or transferring a VOLT NFT, or otherwise taking part in the Project, you agree to these Terms in full. If you do not agree, do not use the Site and do not acquire a VOLT NFT.
Read this first. VOLT NFTs are digital collectibles. They are not investments, shares, securities, deposits, loans or any promise of return. Nothing about the Project is guaranteed: not distributions, not a token, not utility, not the roadmap. You can lose everything you spend. Do not spend money you cannot afford to lose entirely.
1. Eligibility
You may use the Site and take part in the Project only if all of the following are true:
- You are at least 18 years old and have full legal capacity to enter a binding contract.
- You are not located in, resident in, or acting on behalf of any person in a country or territory subject to comprehensive sanctions, and you are not a person listed on any sanctions or restricted-party list.
- Your participation is lawful where you live. You are solely responsible for checking that, and for stopping if it is not.
- You act for yourself, using assets you own, and not as part of any money-laundering, market-manipulation, wash-trading or fraudulent scheme.
2. What a VOLT NFT is, and what it is not
A VOLT NFT is a non-fungible token recorded on a public blockchain, together with the licence set out in section 6. That is the entire subject matter of your purchase.
A VOLT NFT does not give you, and must not be understood to give you:
- any equity, share, membership interest, partnership interest or ownership of any company or of the Project;
- any debt claim, deposit, loan, or entitlement to repayment;
- any security, financial instrument, collective investment scheme interest, or regulated product of any kind;
- any right to profit, revenue, dividend, distribution, yield, airdrop or token;
- any governance right, voting right, or right to direct how the Project is run;
- any right to demand that we build, ship, continue or complete anything.
You acquire a VOLT NFT for personal collecting, use and enjoyment. You must not acquire one with any expectation of profit derived from the efforts of others. If your reason for buying is financial return, do not buy.
3. No guarantees. Forward-looking statements.
Statements on the Site, in our channels, in any roadmap, deck, thread, space, call, chat message or reply, about what the Project intends, hopes, plans or expects to do are forward-looking statements of intent, not commitments. They describe an aspiration at a moment in time.
Without limiting that:
- Any reference to fees being deployed, positions being taken, assets being acquired, or anything being passed on or distributed to holders describes an intended model. It is not a promise, an obligation, an entitlement, or a guarantee of amount, timing, frequency, eligibility, or that it will happen at all.
- Any reference to a token, launch, unlock, tier, allocation, reward or benefit is an intention only, is subject to change or cancellation without notice, and may never occur.
- Any timeline, phase, milestone or roadmap item may be delayed, reordered, changed beyond recognition or abandoned entirely, at our sole discretion, for any reason or no reason.
- We may pause, wind down, hand over or permanently discontinue the Project at any time.
We make no representation or warranty that any statement about the future will prove accurate, and we accept no obligation to update any such statement. Do not rely on them.
4. No advice, no advisory relationship
Nothing in the Project is financial, investment, legal, tax or accounting advice, a recommendation, a solicitation, or an offer to buy or sell anything. We are not your broker, adviser, agent, fiduciary or trustee, and no fiduciary duty, duty of care or advisory relationship exists between us. Any decision you make is your own. Get your own professional advice before you act.
5. Risk
You confirm you understand and accept the risks set out in our Risk Disclaimer, which forms part of these Terms. Those risks include, without limitation: total and permanent loss of value; smart-contract defects; blockchain, network, bridge and validator failure; loss or theft of your keys; irreversibility of transactions; absence of any market or liquidity; extreme price volatility; phishing and impersonation; and regulatory action that restricts or ends the Project.
6. Intellectual property and your licence
All artwork, characters, designs, names, logos, video, copy and other content in the Project are protected by intellectual property rights and remain owned by us or our licensors. Buying an NFT transfers the token, not the underlying copyright.
For as long as you lawfully hold a VOLT NFT, we grant you a worldwide, non-exclusive, non-transferable, revocable licence to use, copy and display the artwork of that specific NFT for your own personal, non-commercial purposes, and to display it in connection with reselling that NFT on a marketplace. The licence ends automatically the moment you stop holding the NFT, and ends immediately if you breach these Terms.
You must not, and must not permit anyone else to:
- use the artwork in connection with hate speech, violence, harassment, pornography, or any unlawful activity;
- use our names, logos or brand in a way that suggests sponsorship, affiliation or endorsement;
- mint, re-mint, fractionalise, wrap or issue derivative tokens of the artwork without our written permission;
- use the artwork to promote or imply any financial product, return or investment opportunity.
7. Third parties, marketplaces and wallets
Marketplaces, wallets, bridges, explorers, blockchains, social platforms and any other third-party service you use are operated by parties independent of us. We do not control them, do not endorse them, and are not responsible for them, for their fees, availability, security, listings, royalties or conduct, or for any loss arising from them.
Secondary-market prices are set by third parties. We do not control, support, stabilise or guarantee any price, floor, volume or liquidity, and we have no obligation to buy back any NFT at any price.
No affiliation. The Project is not affiliated with, sponsored by, endorsed by, or in any partnership with Robinhood Markets, Inc. or any of its subsidiaries or affiliates, or with any other company named or referenced anywhere in the Project. Third-party names and marks are the property of their owners and are used for identification only.
8. Your responsibilities
- Your wallet, your keys, your responsibility. We can never recover a lost key, reverse a transaction, restore a stolen NFT or undo an approval you signed.
- Verify every contract address, link and account through our official channels before you interact with anything. Impersonation is constant. We will never DM you first, and we will never ask for your seed phrase or private key.
- You are solely responsible for determining and paying any tax arising from your acquisition, holding, transfer or disposal of an NFT or any asset received in connection with the Project.
- All sales are final. There are no refunds, cancellations, chargebacks or returns.
9. Prohibited conduct
You must not:
- attack, probe, overload, scrape at scale, reverse engineer or interfere with the Site or any Project infrastructure;
- exploit any bug, error or unintended behaviour in any contract or system for gain;
- impersonate us, our team, our holders, or any other person;
- threaten, harass, dox or intimidate any person connected with the Project;
- use the Project to launder funds, evade sanctions, or commit or facilitate any offence.
We may restrict, suspend or terminate your access to the Site and to any optional community channel or benefit at any time, without notice or liability, including for breach of this section.
10. Disclaimer of warranties
The Site, the NFTs and everything else in the Project are provided “as is” and “as available”, with all faults and without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express, implied or statutory, including any warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Site or any contract will be uninterrupted, timely, secure, error-free or free of harmful components, that any defect will be corrected, or that any content is accurate, complete or current.
11. Limitation of liability
To the fullest extent permitted by law, we, and every person involved in creating, producing, operating or contributing to the Project, will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, data, tokens, digital assets or value, however caused and under any theory of liability, even if we have been advised of the possibility of such loss.
To the fullest extent permitted by law, our total aggregate liability to you for all claims connected with the Project is limited to the greater of (a) the amount you paid directly to us for the NFT giving rise to the claim, or (b) USD 100.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
12. Indemnity
You will indemnify and hold us harmless from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your use of the Project, your breach of these Terms, your violation of any law, or your infringement of any third party’s rights.
13. Governing law and disputes
These Terms and any dispute connected with them are governed by the laws of England and Wales, without regard to conflict-of-laws rules.
Before starting any formal proceeding, you agree to contact us at legal@poweredbyvolt.xyz and to attempt to resolve the dispute informally in good faith for at least 30 days.
Any dispute not resolved informally will be finally settled by binding arbitration under the LCIA Rules, seated in London, in English, before a single arbitrator. You and we each waive any right to a jury trial and agree that claims may be brought only on an individual basis, not as a class, collective or representative action, and that the arbitrator may not consolidate claims.
If you are a consumer, nothing in this section removes any mandatory protection or any right to bring proceedings in the courts of your country of residence where the law of that country gives you that right and it cannot be contracted out of.
14. Changes
We may change these Terms at any time by posting an updated version here with a new “last updated” date. Changes apply from the moment they are posted. Continued use of the Site or continued holding of a VOLT NFT after that means you accept the change. Check this page before you rely on anything.
15. General
- If any provision is held unenforceable, it is severed and the rest stays in force.
- Our failure to enforce any provision is not a waiver of it.
- You may not assign these Terms. We may assign them freely, including to any successor of the Project.
- These Terms, together with the Privacy Policy and the Risk Disclaimer, are the entire agreement between you and us and replace anything said or written before, including any statement in any social post, chat, space or call.
- Nothing here creates a partnership, joint venture, employment or agency relationship.
16. Contact
Written notice to us must be sent to legal@poweredbyvolt.xyz. This is the only channel we treat as valid for legal notice. Messages sent through social platforms, replies or group chats are not notice and may not be seen.
